Membership Terms

EFFECTIVE: JUNE 2026 · NOMAD ENERGY CLUB

1. Acceptance of Terms

These Membership Terms ("Terms") are a binding agreement between you ("Member") and Nomad Energy Club ("the Club," "we," "us"), a Nevada-based club. By purchasing a membership, requesting a quote, or paying an invoice issued by the Club, you accept these Terms in full.

2. Eligibility

Membership is available only to individuals who are at least 18 years of age and who are purchasing equipment for their own personal, end-use applications (for example: a personal RV, van, boat, trailer, or off-grid property).

Membership is not available to: (a) businesses or individuals purchasing for resale; (b) owners, employees, contractors, or agents of any manufacturer, distributor, dealer, or retailer in the solar, battery, or energy-storage industry; or (c) any person joining on behalf of, or to gather pricing or business information for, any such company. By joining, you represent that none of these apply to you, and you agree to notify the Club if your status changes.

3. Membership Fee, Renewal & Cancellation

• The annual membership fee is charged at signup and renews automatically every twelve (12) months until cancelled.
• Membership fees are non-refundable once charged, in whole or in part.
• You may cancel auto-renewal at any time. Upon cancellation, your buying privileges remain active through the end of your current paid membership year.
• Founding-rate memberships retain their original annual rate for as long as the membership remains continuously active. If a founding membership lapses or is cancelled, any future membership is charged at the then-current standard rate.
• The Club may adjust standard membership pricing for new and renewing non-founding members with notice prior to renewal.

4. How Ordering Works

• Members request quotes by contacting the Club with the specific brand, model, and quantity desired.
• The Club responds with a private, member-only quote. Quotes are valid for the period stated on the quote and are subject to supplier availability.
• Orders are confirmed only when the Member pays the corresponding invoice issued through our payment processor (Stripe). The Club will confirm exact SKUs and quantities on the invoice; it is the Member's responsibility to verify model numbers, specifications, and compatibility before paying.
• Invoices itemize product cost, shipping at actual carrier cost, applicable sales tax, and any applicable payment processing fees.

5. All Sales Final

Member pricing is made possible by eliminating the costs that retail prices carry — including the cost of return processing, restocking, and buyer's-remorse returns. Accordingly:

• All product sales are final. The Club does not accept returns, exchanges, or cancellations after an invoice is paid, except as described in Section 6.
• Members agree to confirm their order details carefully before payment. "Measure twice, order once."

6. Damaged or Defective on Arrival

• If an item arrives damaged or dead on arrival (DOA), notify the Club at contact@nomadenergy.club within 48 hours of delivery, including photos of the item and packaging and your invoice number.
• The Club will work with the supplier or carrier to provide a working replacement of the same item. Where a replacement is not available, the Club will refund the affected item.
• Visible carton damage should be noted with the carrier at delivery whenever possible; this materially helps freight claims.

7. Warranty

All products are sold brand new and carry the full manufacturer's warranty. Warranty service after delivery is provided by the manufacturer under the manufacturer's terms. The Club will assist Members in identifying the correct manufacturer warranty contact but does not itself extend any additional warranty, express or implied, beyond the manufacturer's.

8. Shipping, Title & Risk of Loss

• Shipping is billed at actual carrier cost as itemized on the invoice. The Club does not mark up or subsidize shipping.
• Delivery estimates (typically 3–5 business days) are estimates only and depend on supplier stock and warehouse location. The Club is not liable for carrier delays.
• Tracking information is forwarded to the Member when generated by the shipping warehouse.

9. Pricing Confidentiality

Member quotes and invoiced prices are provided privately under manufacturer dealer agreements. Members agree not to publish, post, screenshot-share, or otherwise publicly disclose quoted or invoiced prices, including in forums, social media groups, or marketplaces. Violation of this section is grounds for immediate membership termination without refund.

10. End Users Only — No Resale, No Industry Affiliation

All purchases must be for the Member's own end use. Commercial resale of products purchased through the Club is strictly prohibited. The Club reserves the right to decline any order, limit quantities, and suspend or terminate any membership without refund where resale activity is suspected, at the Club's sole discretion.

11. Quotes, Availability & Errors

All quotes are subject to supplier availability and confirmation. In the rare event of a clear pricing or clerical error on a quote or invoice, the Club may cancel the affected order prior to shipment and issue a full refund of amounts paid for that order.

12. Installation & Safety

Products sold through the Club include electrical equipment. Members are solely responsible for proper installation in accordance with manufacturer instructions and applicable codes. The Club recommends installation by, or consultation with, a qualified installer for high-current DC systems, battery banks, and inverter installations.

13. Limitation of Liability

To the maximum extent permitted by law, the Club's total liability arising out of any order is limited to the amount paid for that order, and the Club is not liable for indirect, incidental, or consequential damages, including installation costs, vehicle downtime, or lost income.

14. Termination by the Club

The Club may suspend or terminate a membership without refund for violation of these Terms, including resale activity, misrepresentation of eligibility or industry affiliation, pricing-confidentiality violations, abusive conduct, or fraudulent payment activity.

15. Changes to These Terms

The Club may update these Terms from time to time. Material changes will be communicated to active Members by email, and continued use of membership privileges after notice constitutes acceptance.

16. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles. Any dispute shall be brought in the state or federal courts located in Washoe County, Nevada.
